The Company

The company is an international-led JV infrastructure company offering a suite of integrated outsourced services to its core technology customers. Through organic and acquisitive growth, it has built a very strong, sizeable and well-established market-leading Myanmar operation. The company now wishes to appoint a business-minded, solutions-driven General Counsel. The position may be located either full-time in Yangon or divided between home country and Myanmar.

 

The Position

Reporting to the Regional Leadership team and Board of Directors, the appointed individual will enjoy a broad, multi-faceted position within a complex and challenging environment comprising multiple internal and external stakeholder whilst providing advice relating the full range of corporate (contracts, project financing and M&A transactions, litigation), employee, regulatory and compliance matters. The appointed individual will be fully-engaged in the review, management and negotiation of complex commercial contracts including long-term service and supply agreements, provision of advice to senior management with respect to business operations (marketing, business development, real estate), competition law, investment law and corporate law whilst ensuring that all such laws, licences and permits are monitored, updated and rigorously applied. The scope will include compliance to stringent regulatory controls complete with a need to liaise with, and manage, government authorities (MIC / PTD). Building strong relationships with external stakeholders - customers, partners, multi-jurisdictional external counsel and Government - will be integral to the position. There will be an ongoing need to coach a small legal and compliance team whilst providing company-wide training and education relating to legal and compliance ‘best practice’. As the company will look to secure a successful listing in the coming years, the appointed GC will be heavily involved in pre-IPO matters including managing key commercial, regulatory and compliance processes to support stringent capital markets and stock exchange listing requirements.

The Person

Interested candidates will offer a Law Degree (JD) with at least 10+ years’ PQE commercial experience secured within a top-tier international law firm and in-house within a noted MNC. Whilst a Foreign lawyer already present in Yangon would be ideal, the company is equally keen to consider suitably qualified and experienced lawyers from within the SE Asia region with a view to dividing time between the two locations. Interested candidates must demonstrate an ability to provide sound legal advice/judgement including appropriate strategies to drive and support commercial success, including contract drafting, project financing and M&A besides risk management and demonstrable team leadership experience. Prior exposure to management of corporate governance within a highly regulated environment will be advantageous. Given the desire to take the company through an IPO, prior pre-listing experience is strongly preferred.
